UAE Corporate Tax Registration: Who Must Register, By When, and What If You Don't

Corporate Tax registration is mandatory for virtually every UAE entity — including free zone companies aiming for the 0% rate. Registration timing, return deadlines and the penalty maths, explained plainly.

Since Corporate Tax took effect for financial years starting on or after 1 June 2023, registration with the Federal Tax Authority is effectively universal: mainland companies, free zone persons, and even many entities expecting to pay nothing must register. The 9% rate applies above the taxable-income threshold, but the obligation to register and file exists independently of whether any tax is ultimately payable.

Free zone companies are the most commonly confused. A Qualifying Free Zone Person can enjoy 0% on qualifying income — but only if the conditions are met and maintained: adequate substance in the UAE, qualifying income correctly identified, transfer pricing documentation where applicable, and audited financial statements. Critically, registration and annual filing are still required. The 0% rate is earned through compliance, not assumed through silence.

The mechanics matter. Registration deadlines are linked to licence issuance, and late registration attracts an administrative penalty — historically AED 10,000, with periodic relief announced for those who regularise promptly. The Corporate Tax return itself is due within nine months of the end of the relevant financial year: a December year-end means a 30 September filing deadline the following year.

The practical takeaway for Indian groups running UAE entities: treat registration, bookkeeping and filing as one continuous calendar rather than an annual event. IFRS-standard books maintained monthly make the annual return a formality; reconstructed books make it a risk. Our UAE desk runs exactly that discipline — registrations tracked, books kept FTA-ready, and filings coordinated through qualified professionals where required.
